Introduction.

Services.

2.1 The Agency agrees to provide the Services as outlined in the Agreement.

2.2 The scope of the Services will be defined in the Agreement and any changes must be agreed upon in writing by both parties.

Fees and Payment.

3.1 Fees for the Services will be outlined in the Agreement.

3.2 Payment terms are as follows unless otherwise specified in the Agreement:

50% deposit upon signing the Agreement

25% upon delivery of preliminary designs

25% upon project completion 3.3 Late payments may incur interest charges as stipulated in the Agreement.

Client Responsibilities.

4.1 The Client agrees to provide all necessary information, documents, and access required for the Agency to perform the Services.

4.2 The Client is responsible for obtaining any necessary permits or approvals required for the project.

Intellectual Property.

5.1 The Agency retains ownership of all intellectual property rights to the designs and materials created during the provision of the Services.

5.2 The Client is granted a non-exclusive, non-transferable license to use the designs and materials for the intended purpose as outlined in the Agreement.

Confidentiality.

6.1 Both parties agree to keep confidential all information disclosed during the provision of the Services.

6.2 Confidential information shall not be disclosed to any third party without the prior written consent of the other party.

Termination.

7.1 Either party may terminate the Agreement with written notice if the other party breaches any material term of the Agreement and fails to remedy the breach within 30 days of receiving notice.

7.2 The Agency may terminate the Agreement if the Client fails to make payments as required by the Agreement.

Liability.

8.1 The Agency will perform the Services with reasonable skill and care.

8.2 The Agency's liability for any claim arising from the provision of the Services is limited to the amount of fees paid by the Client.

8.3 The Agency is not liable for any indirect, consequential, or special damages arising from the provision of the Services.

Dispute Resolution.

9.1 Any disputes arising from the Agreement will be resolved through negotiation in good faith.

9.2 If negotiation fails, the dispute will be resolved through mediation or arbitration, as agreed by both parties.

Governing Law.

10.1 These Terms and the Agreement are governed by and construed in accordance with the laws of the jurisdiction where the Agency is located.

Amendments.

11.1 The Agency reserves the right to amend these Terms at any time. Clients will be notified of any significant changes.

Miscellaneous.

12.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.2 The Agreement constitutes the entire agreement between the Client and the Agency, superseding any prior agreements or understandings.
